ARTICLE 1- SCOPE OF APPLICATION
The purpose of these General Terms and Conditions of Sale is to define the conditions under which JOSÉ EISENBERG S.A., a joint-stock company with a capital of 150,000 euros, whose registered office is located at 24, avenue Princesse Grace, Monte-Carlo, MC 98000 Monaco, registered with the Monaco Trade and Industry Register under number 01S03910 ("the Seller"), whose intracommunity VAT identification number is FR 17 0000 5726 4, supplies consumers and non-professional buyers ("the Customers or the Customer") who so request, via the website www. eisenberg.com, the products offered for sale by the Seller and in particular the following products: cosmetics, perfumes, make-up and beauty accessories of the EISENBERG PARIS® brand ("The Products").
These General Terms and Conditions of Sale or "GTCS" constitute the sole basis of the commercial relationship between the Parties and govern the use of the www.eisenberg.com website.
The www.eisenberg.com website is owned and operated by JOSÉ EISENBERG S.A.
The site www.eisenberg.com is hosted on the Shopify platform provided by Shopify Inc (SHOPIFY INTERNATIONAL LIMITED, Ireland), to enable the Seller to create and manage its e-commerce site, and the Customer to consult and purchase Products.
The Customer acknowledges having the capacity required to contract and purchase the Products offered on the www.eisenberg.com website.
The choice and purchase of a Product is the sole responsibility of the Customer.
These General Terms and Conditions of Sale apply to the exclusion of all other conditions, in particular those applicable to sales in stores or through other distribution and retail channels.
The customer declares that he/she has read and understood the General Terms and Conditions of Sale and accepts them unreservedly before placing an order by ticking the box provided for this purpose before starting the online ordering procedure on the www.eisenberg.com website.
The information appearing on the site, product descriptions and the Vendor's prices are given for information only and may be revised at any time. The Vendor reserves the right to make any modifications he/she deems necessary.
The Seller reserves the right to modify its General Terms and Conditions of Sale at any time. The General Terms and Conditions of Sale applicable are those in force on the date of the order placed by the Customer.
ARTICLE 2- ORDERS – PRICES
2-1. Product characteristics
The main characteristics of the Products, and in particular specifications, illustrations, indications of dimensions or capacity of the Products, lists of ingredients, instructions for use and prices are presented on the www.eisenberg.com website. It is the Customer's responsibility to familiarize himself/herself with these before placing an order.
2-2. Validity of the order
It is the Customer's responsibility to select the Products he/she wishes to order on the www.eisenberg.com website, according to the procedures indicated on the site in the form of successive steps, the last step of which constitutes validation of the order. The Customer may select until 4 pieces of the same Product which will be added to the "basket". The "basket" summarizes the Products chosen by the Customer, the price of the Products, the total and the related costs. The Customer may modify the basket until the order has been validated.
In order to place an order, the Customer can first register on the site and create an account, which contains all the Customer's information, or place an order as a Guest. To create this account, the Customer must ensure that the information provided is accurate, and must update it whenever necessary. The Customer is solely responsible for the accuracy of the data provided and for the security and confidentiality of his/her account. In the event of an error in the information provided by the Customer on his/her account, the Vendor cannot be held responsible for the impossibility of delivering the products.
Contractual information is presented in French, and translated into English, Italian, German, Russian and Chinese, and is confirmed at the latest when the order is validated by the Customer.
Product offers are valid as long as they are visible on the site, while stocks last.
The registration of an order on the Vendor's site is completed when the Customer accepts the present General Terms and Conditions of Sale by ticking the box “Go to checkout” and validates his/her order. This validation implies acceptance of these General Sales Conditions in their entirety, and constitutes proof of the sales contract. Customers may check the details of their order, its total price and correct any errors before confirming their acceptance.
Acknowledgement and acceptance of the order are confirmed by an acknowledgement of receipt sent by the Vendor, once the full price has been received.
The data recorded in the Vendor's computer system constitutes proof of all transactions concluded with the Customer. It is therefore the Customer's responsibility to check the accuracy of the order and to report any errors immediately.
Any order placed on the www.eisenberg.com website constitutes the formation of a contract concluded remotely between the Customer and the Vendor.
The Customer may track the progress of his order on the www.eisenberg.com website.
2-3. Unavailability
Products are offered subject to availability. The Vendor cannot be held responsible for the non-performance of the contract in the event of a product being out of stock or unavailable.
In the event of unavailability of one of the Products, the Customer will be informed either when the order is placed, or within 8 days of placing the order by e-mail.
In this case, the Customer may reply to this e-mail within two working days of receipt of the e-mail from the Vendor to request cancellation or exchange of the order.
Cancellation of the order results in reimbursement of the sums paid within 30 (thirty) days at the latest of their payment.
The exchange of the order allows the substitution of an equivalent Product in terms of quality and price. The cost of returning the substitute Product is borne by the Vendor, and the Customer must be duly informed in advance.
Goods must be delivered to the address indicated by the Customer.
2-4. Order cancellation
Once the order has been validated, the Customer cannot cancel it, unless he/she exercises his/her right of withdrawal as set out in article 5 hereof.
The Vendor reserves the right to cancel any order placed by a Customer, particularly in the event of an existing dispute with the Customer relating to a previous order.
2-5. Prices - taxes and duties
Products are supplied at the Seller's prices in force on the day the order is placed on the www.eisenberg.com website. They can be consulted on the page of each Product.
These prices are net and include all taxes, but exclude shipping costs and specific charges applicable according to the destination country.
Prices take into account any discounts granted by the Seller on the www.eisenberg.com website.
Prices are subject to change at any time. Products will be invoiced on the basis of the prices in force at the time orders are registered, subject to availability on that date.
Our product offers are only valid for the duration of the offer and while stocks last.
The payment requested from the Customer corresponds to the total amount of the purchase, including processing, shipping, transport and delivery costs.
2-6. Product of the month
This offer entitles the Customer to receive the product of the month for purchases of 200€ or more on the eisenberg.com e-boutique, excluding delivery costs. The product of the month is freely determined by the Seller, who reserves the right to choose and modify the product of this offer at any time. This offer may be combined with other promotional offers. While stocks last and in countries where delivery is available.
ARTICLE 3- PAYMENT CONDITIONS
Barring exceptional server malfunctions, the Customer pays in full by credit card after final validation of the order on the site. By providing his/her payment details, the Customer confirms that he/she authorizes the Vendor to invoice the amount due.
Payment is made via the secure server of our payment service provider. At the time of payment, authentication is requested. This means that the customer's bank will ask him/her to identify him/herself, using a code sent by SMS, or his/her date of birth. Once this code has been confirmed, payment is authorized and the order validated.
A secure payment system is implemented to guarantee payment security and prevent fraud.
3-D Secure is a secure Internet payment protocol designed to limit the risk of Internet fraud and identity theft. It consists in ensuring, at the time of each on-line payment, that the bank card is used by its true holder.
ARTICLE 4 - RETENTION OF TITLE
The transfer of ownership of the Products to the Customer will only take place after full payment of the price by the Customer. Until full payment of the price by the Customer, the Vendor reserves the right to repossess the Products sold.
The risk of loss or deterioration of the Products will be transferred to the Customer at the time when the Customer or a third party designated by the Customer, other than the carrier proposed by the Vendor, takes physical possession of the Products.
ARTICLE 5- RIGHT OF WITHDRAWAL
The Customer has a period of fourteen (14) working days from the date of delivery to cancel his/her order and/or return the Product(s) at his/her expense and in their original packaging if they do not meet his/her expectations. The Vendor undertakes to re-credit the Customer's credit card within 30 days of receipt by the Vendor of the Products returned by the Customer under the conditions set out in the present article.
The Customer must return the goods complete, in their original condition and packaging, accompanied by their invoice. Damaged, soiled or incomplete Products will not be accepted for return. Products are returned at the Customer's expense and risk.
The right of withdrawal may be exercised online, using the withdrawal form available on the www.eisenberg.com website and in APPENDIX 1 of these General Terms and Conditions of Sale, in which case the Vendor will immediately send the Customer an acknowledgement of receipt on a durable medium, or any other unambiguous statement expressing the wish to withdraw.
ARTICLE 6- DELIVERIES
6-1. Delivery times
Products purchased by the Customer will be delivered by the DHL Express or Colissimo postal services, usually within two working days for France, and 10 working days for other countries after the order has been registered.
Delivery is constituted by the transfer to the Customer of physical possession or control of the Product.
Except in special cases or when one or more Products are unavailable, all Products ordered will be delivered at once. The Vendor is authorized to make partial deliveries. In this case, only the Products to be delivered will be debited. Shipping and handling charges will only be invoiced for a single shipment.
The Vendor is released from any liability in the event of delivery deadlines not being met due to unforeseen circumstances such as, but not limited to, a total or partial strike of the postal services or carriers, and in the event of loss or deterioration of products by the postal services or carriers.
In the event of late delivery, the Customer must report the delay by e-mail to the contact form, so that the Vendor's Customer Service can contact the postal services or carriers and carry out an investigation.
Unless otherwise stipulated and with the express authorization of the Vendor, any delay in delivery may under no circumstances give rise to damages, deductions or cancellation of orders in progress, which the Customer expressly acknowledges.
6-2. Place of delivery
Delivery will be made to the address indicated by the Customer when placing the order on the www.eisenberg.com website or, in the absence of the addressee, to the post office or carrier responsible for the delivery address indicated by the Customer.
In the event that the Customer does not collect the parcel within the time limit set, and that the parcel is returned to the Vendor, the Customer will be responsible for the cost of returning the parcel.
ARTICLE 7 - RECEIPT OF PRODUCTS
The Customer must check the apparent condition of the Products and the conformity of the goods when signing the delivery receipt. The Customer has a period of seven (7) working days from the date of delivery to send a letter to José Eisenberg S.A., 24, Avenue Princesse Grace, Monte-Carlo, MC 98000 Monaco, or an e-mail to the contact form, stating any reservations or claims for non-conformity or apparent defects in the Products delivered, together with all supporting documents.
If the package is too damaged, the Customer must refuse it and note a reservation on the delivery slip.
In the absence of express reservations by the Customer within this time limit, the Products delivered by the Vendor will be deemed to conform in quantity and quality to the order, and no claim will be validly accepted by the Vendor.
The labels affixed to the goods delivered are essential in order to benefit from the warranty. Packaging must be kept in perfect condition and must not be opened. If this is not the case, the Customer will not be entitled to make a claim.
The Vendor will reimburse or replace, as soon as possible and at its own expense, any Products delivered which the Customer has duly proven to be lacking in conformity or to have visible or hidden defects.
ARTICLE 8 - INFORMATION TECHNOLOGY AND CIVIL LIBERTIES
In accordance with the French Data Protection Act of January 6, 1978, reinforced and supplemented by the RGPD (General Data Protection Regulation) that came into force on May 25, 2018, the Vendor informs its customers about data collection when creating their Customer account, when registering for the Newsletter and when browsing the www.eisenberg.com website.
The Vendor collects the Customer’s data, in particular in order to send newsletters, process the Customer’s orders, deliver Products, issue invoices and display appropriate advertising content. This data may be communicated to any of the Vendor's partners in charge of executing, processing, managing and paying for orders.
The Vendor uses the Customer's e-mail address if the Customer has subscribed to the Newsletter, and for any communication concerning the order. The Customer confirms his/her choices by clicking the appropriate boxes when browsing the www.eisenberg.com website, when subscribing to the Newsletter and/or placing an order. Failure to provide the requested information will result in automatic refusal of the order.
The Customer has the right to access, rectify, oppose, delete and port his/her personal data at any time. To exercise this right, the Customer should send a letter, with proof of identity, to the customer service department of José Eisenberg S.A. 24, Avenue Princesse Grace, Monte-Carlo, MC 98000 Monaco, or an e-mail to the contact form.
ARTICLE 9- SELLER'S LIABILITY – WARRANTY
9-1 Liability
The products offered on the www.eisenberg.com website comply with current European regulations. However, it is the Customer's responsibility to check locally that the goods ordered and requested for delivery are not subject to any particular regulations, particularly in terms of import or use.
Visuals and texts are not contractual. Consequently, the Vendor cannot be held responsible in the event of an error in one of these visuals or texts.
The Seller cannot be held responsible for non-performance of the contract in the event of force majeure, disruption or total or partial strike of postal services and/or communications, flood, fire.
The Vendor declines all responsibility for any damage resulting from the fraudulent intrusion of a third party leading to a modification of the information made available on the site, or leading to the modification, theft or unauthorized use of information concerning the order or the payment of the order.
9-2. Warranty
Products supplied by the Vendor are covered by the legal warranty against hidden defects resulting from a defect in material, design or manufacture affecting the products delivered and rendering them unfit for use, provided they are reported as soon as they appear, and without further payment.
ARTICLE 10- INTELLECTUAL PROPERTY AND CONFIDENTIALITY
With regard to intellectual property rights and copyright, all content and documents integrated, published and made available on the www.eisenberg.com website, as well as all elements created for this site, are the exclusive property of José Eisenberg S.A., which grants no right other than that of consulting the site for personal and private use. This includes, but is not limited to, product descriptions and specifications, illustrations, images, photographs, texts, logos and files.
Any total or partial reproduction of the contents is strictly forbidden and may constitute an infringement of copyright.
ARTICLE 11 – MISCELLANEOUS
11-1 Waiver
The fact that the Vendor does not invoke any of the present conditions at a given time may not be interpreted as a waiver of the right to invoke any of the said conditions at a later date.
11-2 Invalidity and independence of clauses
Should a competent arbitral or judicial tribunal consider any of the terms of the present conditions to be invalid, such invalidity shall not affect the validity of the other terms of the present conditions.
ARTICLE 12 – JURISDICTION
All internal disputes to which the present contract and the agreements arising therefrom may give rise, concerning their validity, interpretation, performance, resolution, consequences and consequences may, if necessary, be referred to a mediator and shall be submitted to the courts of the Principality of Monaco.
ARTICLE 13- APPLICABLE LAW - LANGUAGE OF THE CONTRACT
By express agreement between the parties, the present General Terms and Conditions of Sale and the purchase and sale transactions arising therefrom are governed by Monegasque law.
They are written in French. Should they be translated into one or more languages, only the French text will be deemed authentic in the event of a dispute.
ARTICLE 14 - CUSTOMER ACCEPTANCE
The act of placing an order on the www.eisenberg.com website implies full acceptance of the present General Terms and Conditions of Sale, as well as the obligation to pay for the Products ordered, which is expressly recognized by the Customer, who notably waives the right to invoke any contradictory document, which would be unenforceable against the Vendor.

This form must be completed and returned only if the Customer wishes to withdraw from the order placed on the website, unless exclusions or limitations to the exercise of the right of withdrawal according to the applicable General Conditions of Sale.
